These Terms & Conditions (“Terms”) govern access to and use of the SBSDispatch software and related services (the “Service”). If your organisation has a separate written agreement (such as an order form or master services agreement), that document prevails where it conflicts with these Terms.
1. Acceptance
By creating an account, signing in, or using the Service on behalf of yourself or an organisation, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
SBSDispatch provides tools for dispatch, logistics, customer portals, driver workflows, reporting, and related functions. Features available to you depend on your role, subscription, and configuration. We may modify or discontinue features with reasonable notice where practicable.
3. Accounts and eligibility
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. You must be authorised by your organisation to use the Service on its behalf. You must not share accounts in a way that circumvents security or licensing.
4. Customer data
Your organisation is responsible for the content and lawfulness of data entered into the Service (“Customer Data”). You grant the operator a licence to host, process, and display Customer Data solely to provide and improve the Service as described in your agreement and the Privacy notice.
5. Acceptable use
You agree not to:
- Use the Service in violation of law or third-party rights.
- Attempt to gain unauthorised access to systems, data, or accounts.
- Introduce malware, overload infrastructure, or probe vulnerabilities except as part of an agreed test.
- Use the Service to send unlawful, harassing, or deceptive communications.
- Reverse engineer the Service except where mandatory law allows.
6. Intellectual property
The Service, including software, branding, and documentation, is owned by the operator or its licensors. Except for the limited rights to use the Service under these Terms, no rights are granted.
7. Third-party services
Integrations (maps, messaging, payment gateways, etc.) are provided by third parties. Their terms apply to your use of those features.
8. Confidentiality
Each party will protect the other’s non-public information with reasonable care and use it only for the purpose of providing or receiving the Service, subject to your organisation’s agreement.
9. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available” without warranties of merchantability, fitness for a particular purpose, or non-infringement. The operator does not warrant that the Service will meet every operational requirement or be uninterrupted.
10. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from the Service. The operator’s aggregate liability arising from these Terms or the Service is limited to the fees paid by your organisation for the Service in the twelve (12) months before the claim, or, if none, to one hundred (100) USD. Some jurisdictions do not allow certain limitations; in those cases the limitation applies to the maximum extent allowed.
11. Indemnity
Your organisation will defend and indemnify the operator against claims arising from Customer Data or misuse of the Service by your users, except to the extent caused by the operator’s gross negligence or wilful misconduct.
12. Suspension and termination
We may suspend access for material breach, security risk, or non-payment (if applicable), with notice where reasonable. On termination, access may cease and data handling will follow your agreement and the Privacy notice.
13. Governing law
Unless your organisation’s agreement specifies otherwise, these Terms are governed by the laws applicable to the operator’s principal place of business, without regard to conflict-of-law rules. Courts in that jurisdiction have exclusive jurisdiction, unless mandatory law requires otherwise.
14. Changes
We may update these Terms by posting a revised version and updating the “Last updated” date. Continued use after changes become effective constitutes acceptance, except where your agreement requires explicit consent.
